PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY DOWNLOADING, INSTALLING, OR USING THE HINTON APPLICATION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE, DO NOT USE THE APPLICATION.


1. Definitions

  • "App" or "Hinton": The Hinton mobile application and all associated services, features, and content.

  • "We", "Us", "Our": The operators and developers of the Hinton application.

  • "You", "User": Any individual or entity that accesses or uses the Hinton application.

  • "Services": All features, functionalities, and content provided through Hinton, including AI model access, payment processing, and related services.

  • "AI Models" or "LLMs": Third-party large language models accessible through Hinton, including but not limited to GPT-4, Claude, Gemini, Llama, and other models.

  • "x402 Protocol": The payment protocol used by Hinton for processing USDC micropayments on blockchain networks.

  • "Input": Any text, data, files, or other content you submit to the Services.

  • "Output": Any text, data, or other content generated by AI Models in response to your Input.

  • "User Content": Collectively, your Input and Output.

  • "Session Keys": Cryptographic keys with limited permissions created on first use to enable frictionless transaction signing.


2. Eligibility

You must be at least 18 years of age to use Hinton. By agreeing to these Terms, you represent and warrant that you are at least 18 years old, that you have the legal capacity to enter into a binding agreement, and that your use of the Services complies with all applicable laws and regulations. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.


3. Account Registration and Security

To access the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at info@hinton.app if you suspect any unauthorized use of your account.


4. Service Description

4.1 AI Gateway

Hinton is a pay-per-use AI gateway that provides access to multiple third-party LLMs through a single interface. Hinton aggregates various AI models, allowing you to select and interact with the model of your choice. We may add or remove AI Models from the Services at any time without prior notice.

4.2 Payment System

Hinton uses the x402 payment protocol for USDC micropayments on blockchain networks. Payments are processed on a per-use basis: each interaction with an AI model incurs a cost based on the model's pricing and token usage. Hinton applies a 10% commission on each transaction. Payments are batched using a threshold-based system for gas optimization; on-chain settlement occurs only after the accumulated amount reaches a predefined threshold.

4.3 Embedded Wallet

Upon first use, Hinton creates a non-custodial embedded wallet for you via Privy. This wallet is used to hold USDC and process micropayments. You retain full control of your wallet and funds. We do not have access to your private keys. Session keys are created on first launch to enable frictionless transaction signing without repeated manual approvals.

4.4 Persistent Memory

Hinton integrates mem0 for user-based persistent context and memory across sessions. This feature stores conversation context associated with your user ID to provide personalized and contextually relevant responses across different sessions and AI models.


5. User Content and Intellectual Property

5.1 Ownership of Input

You retain all rights, title, and interest in your Input. By submitting Input to the Services, you grant Hinton a limited, non-exclusive, worldwide license to process, transmit, and route your Input to the relevant AI Model providers solely for the purpose of providing the Services.

5.2 Ownership of Output

Ownership rights in Output are subject to the terms of the respective AI Model provider. You acknowledge that different AI Model providers may have different policies regarding the ownership of generated content. We encourage you to review the applicable terms. Hinton does not claim any ownership rights over Output generated by third-party AI Models.

5.3 No Model Training

Hinton does not use your User Content to train, fine-tune, or improve any AI models. Your prompts and conversations are used solely to provide the Services. Third-party AI Model providers may have their own data training policies, which we do not control.

5.4 User Responsibilities

You are solely responsible for the content of your Input and for ensuring that your use of the Services does not violate any applicable laws, regulations, or third-party rights. You represent and warrant that your Input does not contain any content that is unlawful, harmful, defamatory, infringing, or otherwise objectionable.


6. Payments and Fees

6.1 Pricing

Hinton operates on a pay-per-use model. Each AI model has a different cost per token, as displayed in the App. Hinton charges a 10% commission on each transaction. Prices may change at any time, and current pricing is always displayed before you confirm a request.

6.2 USDC Payments

All payments are made in USDC via the x402 protocol. You are responsible for ensuring that your embedded wallet has sufficient USDC balance to cover your usage. Hinton is not responsible for any fluctuations in the value of USDC or any other cryptocurrency.

6.3 Gas Fees

Blockchain transactions incur gas fees paid to network validators. Hinton uses threshold-based payment batching to optimize gas costs, but you acknowledge that gas fees are inherent to blockchain transactions and are not controlled by Hinton.

6.4 Refunds

Due to the nature of blockchain transactions and real-time AI model usage, all payments are final and non-refundable. If you experience a technical issue that results in a charge without receiving the expected service, please contact us at info@hinton.app and we will review your case.


7. Prohibited Conduct

By using Hinton, you agree not to:

  • Use the Services for any illegal or unauthorized purpose

  • Violate any applicable laws, regulations, or the terms of any third-party AI Model provider

  • Attempt to reverse engineer, decompile, or extract the source code of the App or Services

  • Use the Services to generate harmful, abusive, harassing, or threatening content

  • Use the Services to generate content that infringes upon the intellectual property rights of others

  • Attempt to bypass or circumvent any security, rate limiting, or access control mechanisms

  • Use the Services to conduct fraudulent transactions or money laundering activities

  • Interfere with or disrupt the integrity or performance of the Services

  • Create multiple accounts to circumvent usage limits or restrictions

  • Use the Services to develop competing products or services

  • Use the Services in a manner that violates the usage policies of the underlying AI model providers


8. Third-Party Services and AI Models

Hinton integrates with multiple third-party services, including AI model providers (OpenAI, Anthropic, Google, Meta, and others), blockchain networks, and wallet infrastructure providers. Each third-party service is governed by its own terms of service and privacy policy. Hinton is not responsible for the availability, accuracy, or quality of third-party AI Models or their outputs. You acknowledge that AI-generated outputs may contain errors, inaccuracies, or biased content, and you should not rely on them without independent verification.


9. Disclaimers

9.1 As-Is Service

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 AI Output Accuracy

We do not warrant the accuracy, completeness, reliability, or suitability of any Output generated by AI Models through the Services. AI Models may produce factually incorrect, misleading, or biased content. You are solely responsible for evaluating and verifying any Output before relying on it.

9.3 Blockchain Transactions

We do not warrant that blockchain transactions will be processed within any specific timeframe or that the blockchain networks will be available at all times. Blockchain networks are decentralized and may experience congestion, outages, or other disruptions outside of our control.


10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HINTON, ITS OPERATORS, AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO HINTON IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).


11. Indemnification

You agree to indemnify, defend, and hold harmless Hinton and its operators, affiliates, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property rights; (d) your Input or any content you generate using the Services; or (e) any dispute between you and a third party.


12. Intellectual Property

The App, including its design, code, features, logos, and trademarks, is the intellectual property of Hinton and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless applicable laws prohibit these restrictions or you have our written permission.


13. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us at info@hinton.app. Upon termination, your right to use the Services will immediately cease. Any USDC remaining in your embedded wallet remains yours and can be transferred to an external wallet. Sections that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification obligations.


14. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or, where applicable, through the competent courts of the jurisdiction in which Hinton operates, in accordance with applicable law.


15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the App and updating the "Last Updated" date. For significant changes, we will provide at least thirty (30) days advance notice via the App or email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.


16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Hinton regarding the use of the Services.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, blockchain network failures, or third-party service outages.

16.6 Electronic Communications

By using the Services, you consent to receiving electronic communications from us. You agree that any notices, agreements, or other communications sent electronically satisfy any legal communication requirements.
